Terms and Conditions Governing a Subscriber’s Use of the Canvass Global Platform and All Related Solutions and Services Provided via the Platform

Introduction

A. Subscribers to the Terms

The following Terms of Service Agreement (the “Terms” or the “Agreement”) is a binding agreement between Canvass Global, a division of Udora Technologies Inc. (“Canvass Global”) and you, a user of the Canvass Global Platform (“Platform”) and/or a Subscriber to the Canvass Global Surveillance Camera Registration Solution (“Solution”), as presented in the accompanying Offer Letter, which you agree to, either as an individual of at least eighteen years of age, or as an organizational entity, or as an associational entity, in accordance with your status and existence (“You” or “Subscriber”). These Terms govern your use of the Canvass Global Platform, the Solution, and all other solutions, services, and networks owned or controlled by Canvass Global (all of which are included in the definition of “Content” provided in Section 1 below), which are provided to you via the Platform. When you accessed this Platform, and/or when you registered your account on the Platform (“Account”) and/or when you clicked the “AGREED” box on the Platform login page, you acknowledged your understanding of these Terms and your voluntary consent to be bound by these Terms.

1. Individual Subscribers

If you are an individual, you hereby represent and warrant to Canvass Global that you are at least eighteen (18) years of age and otherwise capable of entering into and performing legal agreements, and that you agree to be bound by these Terms.

2. Entity Subscribers

If you are going to use the Solution on behalf of a public entity, business entity, corporate entity, organizational entity, or associational entity, you hereby represent to Canvass Global that you have the authority to bind that entity to these Terms as the Subscriber, and your acceptance of these Terms will be treated as acceptance by that public, business, corporate, organizational, or associational entity as the Subscriber. In that event, you acknowledge and understand that “You” and “Your” will refer to that public, business, corporate, organizational, or associational entity as the Subscriber, which Subscriber is bound to these Terms, along with all officers, directors, employees, contractors, agents, or volunteers in and under Subscriber’s control and/or supervision, who are also bound to these Terms.

B. Updates to the Terms

When using the Platform, the Solution, and/or any other solutions and/or services provided by Canvass Global via the Platform, you will be subject to any updates and amendments to these Terms. Canvass Global reserves the right, at its sole discretion and without prior notice to you, to update, amend, change, modify, add, or remove portions of these Terms at any time by posting the updated Terms (“Updates”). Unless otherwise stated in writing by Canvass Global, all Updates shall be effective immediately upon posting on the Platform, and your continued use of the Canvass Global Platform after the posting of any Updates to these Terms constitutes your binding acceptance of such changes.

You acknowledge and agree that it is your responsibility to ensure that you are current and up-to-date in your understanding of and compliance with these Terms, notwithstanding whether or not Canvass Global has posted any notice of Updates to these Terms on the Platform, and you acknowledge, understand, and agree that you must periodically check these Terms for Updates. Additional posted policies, guidelines, or rules applicable to specific services and features may be posted from time to time (“Policies”). All such Policies are hereby incorporated by reference into these Terms. In the case of any inconsistency between these Terms and any other document that has been incorporated by reference herein, these Terms shall control.

I. CAMERA REGISTRATION SERVICE

A. Service Overview

Canvass Global provides a privacy-first platform designed to help municipal law enforcement agencies streamline their investigations by providing quick access to registered surveillance cameras in the community. Camera owners can register their cameras, maintain full control over their footage, and contribute to public safety while ensuring their privacy is protected. Law enforcement can request footage securely, and camera owners are compensated when their footage is used in an investigation.

B. Camera Registration

By registering your surveillance camera(s) with the Platform, you acknowledge and agree that:

  • You are the legal owner of the camera(s) being registered or have the legal right to register the camera(s);
  • The camera(s) are installed in compliance with all applicable local, state, and federal laws;
  • You will provide accurate information about the location and capabilities of your camera(s);
  • Your camera information will be available to authorized law enforcement agencies for the purpose of identifying potential sources of video evidence;
  • Registration of your camera(s) does not automatically provide law enforcement with access to your footage or live feed;
  • You maintain full ownership and control of your camera(s) and all footage recorded;
  • You have the right to deactivate or remove your camera registration at any time.

C. Footage Requests

Law enforcement agencies may send requests for footage through the Platform when investigating an incident in proximity to your registered camera(s). When receiving a footage request:

  • You have full discretion to approve or deny any request for footage;
  • There is no obligation to provide footage in response to any request;
  • You can review the specific date, time, and purpose before deciding to share footage;
  • Approved footage will be securely transferred to the requesting agency through the Platform;
  • You will receive notification when your footage has been received and when it is no longer needed;
  • You may be eligible for compensation when your footage is used in an investigation, as detailed in the compensation schedule available in your account.

D. Privacy Protection

Canvass Global is committed to protecting your privacy. Our privacy protections include:

  • Law enforcement can only see the general location of your camera, not your personal identity, unless you choose to share it;
  • You can use an alias rather than your real name in communications;
  • Your contact information is encrypted and only revealed to verified law enforcement when you approve a footage request;
  • Footage is transferred using end-to-end encryption;
  • Law enforcement agencies must specify the legal basis for their request;
  • Canvass Global does not have direct access to your cameras or footage at any time;
  • All access to your information is logged and auditable.

E. Law Enforcement Agencies

For law enforcement agencies using the Platform, the following additional terms apply:

  • Agency must be a legitimate law enforcement organization with proper jurisdiction;
  • All officers accessing the Platform must be properly authenticated and authorized;
  • Footage requests must be made in connection with legitimate investigations;
  • Agencies must specify the legal basis for each footage request;
  • Footage obtained through the Platform must be handled in accordance with all applicable evidence handling procedures;
  • Agencies agree to maintain the confidentiality of camera owners’ personal information;
  • Agencies are responsible for proper compensation to camera owners for footage used in investigations;
  • All actions on the Platform are logged and auditable for legal compliance.

F. Prohibited Uses

The following uses of the Platform are strictly prohibited:

  • Mass surveillance or continuous monitoring of any individual or location;
  • Registration of cameras that are directed at areas with a reasonable expectation of privacy;
  • Using the Platform to track, monitor, or harass individuals;
  • Misrepresenting the purpose of footage requests;
  • Sharing footage access credentials with unauthorized individuals;
  • Using footage for purposes other than those specified in the original request;
  • Attempting to access camera feeds without proper authorization;
  • Any use that violates applicable privacy laws or regulations.

II. CONTENT

A. Content Defined

The Platform contains the Solution and may contain other solutions, products, and services, as well as a variety of materials and other items relating to the Solution and to Canvass Global’s other products and services, and similar items from our licensors and other third parties, including all layout, information, text, data, files, images, scripts, designs, graphics, button icons, instructions, illustrations, photographs, audio clips, music, sounds, pictures, videos, advertising copy, URLs, technology, software, interactive features, the “look and feel” of the Platform and of the Solution, and the compilation, assembly, and arrangement of the materials of the Platform and any and all copyrightable material (including source and object code), trademarks, logos, trade names, service marks, company names, and trade identities of various parties, including those owned by Canvass Global and those owned by third parties and licensed to Canvass Global for use on the Platform (collectively, “Trademarks”), and other forms of intellectual property included in the Platform, in the Solution, and/or in any other product or solution or service provided by Canvass Global. All of the foregoing, including the Solution and any other solutions, products, and/or services provided by Canvass Global through the Platform, is defined and referred to collectively in these Terms as “Content”.

B. User Content

“User Content” refers to any video footage, images, comments, information, data, text, or other materials that you upload, provide, or otherwise make available through the Platform. With respect to User Content:

  • You retain all ownership rights in your User Content;
  • By sharing footage with law enforcement through the Platform, you grant the receiving agency a limited license to use that footage for legitimate law enforcement purposes, including as evidence in investigations and legal proceedings;
  • You represent and warrant that you own or have the necessary rights, consents, and permissions to share all User Content you provide through the Platform;
  • You are solely responsible for ensuring your User Content does not violate any third party’s rights or any applicable laws;
  • Canvass Global does not claim ownership of your User Content but requires limited rights to provide the Service.

III. ACCOUNT MANAGEMENT

A. Account Security

As a user of the Platform, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or mobile device. You agree to accept responsibility for all activities that occur under your account. You should take all necessary steps to ensure that your password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner.

B. Account Types

The Platform offers different account types:

  • Camera Owner Account: For individuals or entities registering surveillance cameras.
  • Law Enforcement Account: For authorized law enforcement agencies and their personnel.
  • Administrator Account: For Canvass Global personnel who manage the Platform.

Each account type has different permissions and access levels appropriate to their role in the system.

C. Account Termination

Canvass Global reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice and with or without cause, including but not limited to violations of these Terms, attempts to circumvent security measures, or providing false information. You may also deactivate your account at any time through the account settings page.

Upon termination of your account:

  • Your camera registrations will be removed from the law enforcement search database;
  • You will no longer receive footage requests;
  • Your account information will be retained in accordance with our data retention policies and applicable laws;
  • Any pending footage requests will be canceled;
  • Any pending compensation will be processed according to our standard payment schedule.

IV. COMMUNITY REWARDS PROGRAM

A. Footage Compensation

Canvass Global offers compensation to camera owners whose footage is used in law enforcement investigations. The compensation structure is as follows:

  • Compensation is provided only for footage that is actually used in an investigation;
  • The compensation rate is determined based on factors including footage duration, quality, and relevance;
  • Current compensation rates are available in your account dashboard;
  • Payments are processed according to the payment schedule and method specified in your account settings;
  • You are responsible for any applicable taxes on compensation received;
  • Compensation is subject to verification that the footage was used in an actual investigation.

Canvass Global reserves the right to modify the compensation structure at any time. Any changes will be communicated through the Platform and will apply to footage requests made after the change is announced.

V. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CANVASS GLOBAL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE TO ANY PERSON FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, SALES, GOODWILL, USE OR CONTENT, IMPACT ON BUSINESS, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, BREACH OF STATUTORY DUTY, NEGLIGENCE OR OTHERWISE, EVEN IF CANVASS GLOBAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES.

IN NO EVENT WILL THE AGGREGATE LIABILITY OF CANVASS GLOBAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS, RELATING TO THE SERVICES, BE MORE THAN THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO CANVASS GLOBAL FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY; OR (B) $100.00 USD.

THE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE.

VI. GOVERNING LAW

These Terms and any dispute or claim arising out of or in connection with their subject matter or formation shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

You agree that any legal action or proceeding between you and Canvass Global shall be brought exclusively in the courts located in Toronto, Ontario, Canada. Notwithstanding the foregoing, Canvass Global shall have the right to bring an action against you in courts of competent jurisdiction in the jurisdiction in which you reside or are located: (i) to seek injunctive relief against you; (ii) to obtain a judgment against you where a judgment by the Toronto court would not be enforced in your jurisdiction; or (iii) to enforce a judgment obtained against you in the Toronto court.
