End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Canvass Global, a division of Udora Technologies Inc. (“Canvass Global,” “we,” “us,” or “our”) for the Canvass Global software application, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (“Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. Grant of License

Subject to the terms and conditions of this EULA, Canvass Global hereby grants you a limited, non-exclusive, non-transferable license to install and use the Software on a device that you own or control, solely for your personal or internal business purposes.

2. Restrictions

You shall not:

  • Copy, modify, adapt, translate, or create derivative works based on the Software or any part thereof;
  • Rent, lease, loan, sell, distribute, or sublicense the Software;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent permitted by applicable law;
  • Remove, alter, or obscure any proprietary notices (including copyright notices) on the Software;
  • Use the Software for any unlawful purpose or in violation of any third-party rights;
  • Use the Software to develop a competing product or service;
  • Use automated scripts to collect information from or otherwise interact with the Software;
  • Upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

3. Ownership

The Software is licensed, not sold, to you. Canvass Global retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

4. Data Collection and Use

You acknowledge and agree that Canvass Global may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Software. Canvass Global may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you. 5. Third-Party Applications

The Software may enable access to third-party services and websites (“Third-Party Services”). These Third-Party Services are not under Canvass Global’s control, and Canvass Global is not responsible for the content, services, or features of any Third-Party Services. Your use of Third-Party Services may be governed by separate terms and conditions provided by the third-party service providers.

6. Updates

Canvass Global may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the performance of the Software (“Updates”). By installing the Software, you consent to automatically receive and install Updates. You may be able to adjust your Update settings in the Software preferences.

7. Term and Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Canvass Global if you fail to comply with any term(s) of this EULA. Upon termination of this EULA, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CANVASS GLOBAL DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.

9. Limitation of Liability

IN NO EVENT SHALL CANVASS GLOBAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SOFTWARE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SOFTWARE; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SOFTWARE BY ANY THIRD PARTY; OR (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SOFTWARE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Canvass Global, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of this EULA by you or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Software using your account.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the province of Ontario.

12. Severability

If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

13. Amendments

Canvass Global reserves the right, at its sole discretion, to modify or replace this EULA at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14. Entire Agreement

This EULA constitutes the entire agreement between you and Canvass Global regarding the use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and Canvass Global.
